Small Business Start-Up Package
During a recession more people than ever are starting their own business; however because the credit markets have tightened, more businesses are starting without a lot of access to capital. That’s why Mitchell-Phillips Law, P.C. has created a special “Start-Up Package” for small businesses in the Pacific Northwest. The package, at a cost of $500, provides an affordable bundled package of seven different legal services commonly needed by small and emerging companies in their start-up phase. The package includes all of the following legal services over the first three (3) months of operation… a package values at over $5, 000:
- Choice of Entity: Mitchell-Phillips will advise you on the best choice of entity for your business. Most people think a limited liability company (LLC) is the right form of organization for their new venture. However, an LLC is not the best form of entity for every new business endeavor. As part of the Start-Up Package, Mitchell-Phillips Law analyzes your business from the perspective of creating the long-term value and advises you on whether a C-Corp, S-Corp, LLC, or partnership is the best form of organization to meet your long-term business goals.
- Incorporation/Formation: Mitchell-Phillips Law, as part of the Start-Up Package, will help your new business file the appropriate paperwork with the Secretary of State of the State of Oregon. Forms may include articles of incorporation/organization, bylaws, minutes, shareholder and director consents, subchapter s elections, tax identification numbers, stock certificates, etc.
- Initial Equity/Interest Issuance: In the event your company needs to offer stock or interests in its new entity, Mitchell-Phillips Law, as part of the Start-Up Package will assist you with the completion of the forms necessary for equity or interest issuance (e.g. founder’s subscription agreements, promissory notes, issuance of stock certificates, LLC membership interests).
- Stock Option Plan: If you form a company and want to offer stock to your employees, Mitchell-Phillips Law, as part of the Start-Up package can help you make a stock option plan to suit the needs of your business.
- Initial Employer Issues: If you hire employees, you may need non-disclosure intellectual property, non-solicitation agreements, and/or noncompetition agreements. Mitchell-Phillips Law provides the necessary advice and documentation to help you deal with those initial employer issues upon formation.
- Protection of Intellectual Property with Third Parties: Protecting your intellectual property is crucial to the success of your business. The Small Business Start-Up Package includes assistance with technology assignments, non-disclosures, trademark and domain name registrations.
