Financing & Investment: Raising capital is often a vital part of the growth process for a new enterprise or a business in transition. Mitchell-Phillips Law assists clients with private placements, private and public equity, venture and angel financing, credit facilities, loans, debentures, warrants, stock options, and other investment instruments. This includes, but is not limited to, preparing loan agreements, promissory notes, trust deeds, security agreements, financing statements, guaranties; ordering and reviewing UCC searches, and conducting analysis of location of filing issues. The firm will also take any necessary ancillary actions to make sure your business is properly protected during its financing and investments.
Structural Changes: Mergers, acquisitions, joint ventures, strategic alliances, or divestures, no matter the corporate exercise, Mitchell-Phillips Law, P.C. is prepared to assist clients achieve their goals. The Firm performs due diligence investigations, drafts and vets legal opinions and complex agreements, structures and negotiates deals, makes the necessary federal and state filings, and establishes new entities as required (e.g. preparing letters of intent, non-disclosure agreements, due diligence questionnaires/checklists, conducting due diligence on seller, preparing due diligence review memoranda, asset/stock purchase/merger agreements, disclosure schedules, consents to assignment, corporate notices and authorizations, transfer documents, articles of merger, hold-back escrow agreements, closing certificates, opinion letters, etc.).
Due Diligence: Performing due diligence exercises are a fundamental part of Mitchell-Phillips Law, P.C. Depending upon the level of scrutiny required by the transaction, the Firm conducts examinations of all persons and entities relevant to the transaction, meticulously vets all necessary documents, and drafts legal opinions and/or due diligence reports. The performance of due diligence investigations is normally conducted: (1) in furtherance of a public offering, private placement, or other investment exercise; (2) pursuant to a corporate partnering or other structural change; (3) to determine the viability, ownership, and/or legal standing of a company; or (4) pursuant to the discovery of assets in anticipation of litigation.
Securities Filings: Mitchell-Phillips Law, P.C. assists companies with on-going securities reporting and regulatory compliance with federal state and securities laws (e.g. advising on securities registration exemptions, drafting of Form 3's, 4's, and 5's as well as 10K, 10Q's, Blue Sky and Regulation D Rule 506 Compliance for Private Placements, Regulation D Rule 506 Offerings, Regulation D Rule 504 Offerings, and Rule 144 Advice; Filing Form 144, etc.).
